Welcome to Techstartup University, operated by Vyrtual Inc., a Delaware C Corporation ("we", "us", or "our"). By accessing or using our website and services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use our services.
2. Services Description
Techstartup University provides support services for startups participating in the Techstars accelerator program. Our services are provided on an "as is" and "as available" basis.
3. User Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our services. By using our services, you represent and warrant that you meet all eligibility requirements.
4. Account Registration
You may need to create an account to use some of our services. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
5. Payment and Refunds
5.1. All payments are non-refundable.
5.2. We will provide services to the best of our ability, but we make no guarantees about the results or effectiveness of our services.
5.3. Revisions to deliverables are allowed as specified in the service description. Additional revisions may incur extra charges.
5.4. Consultation calls are not included in our standard services. If a founder wants weekly calls or additional consultations, these will be charged separately.
5.5. The 2x bonus credits offer is available only for startups actively participating in the Techstars program.
5.6. Credits can roll over month to month and can be used after the Techstars program ends, subject to any expiration terms we may set.
5.7. We reserve the right to change our pricing, bonuses, and service offerings at any time without prior notice.
6. Referral Program
6.1. Referral bonuses will be paid out at the end of each month and automatically credited to the referrer's account balance.
6.2. We reserve the right to modify or terminate the referral program at any time.
7. Intellectual Property
7.1. We retain all rights, title, and interest in and to our services, including all related intellectual property rights.
7.2. You retain ownership of any content you provide to us, but you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content for the purpose of providing our services.
8. Limitation of Liability
8.1. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
8.2. Our total liability arising out of or relating to these Terms shall not exceed the amount you paid us in the past six months.
9. Indemnification
You agree to indemnify and hold harmless Vyrtual Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of our services or violation of these Terms.
10. Modifications to Services and Terms
We reserve the right to modify or discontinue, temporarily or permanently, our services with or without notice. We may also modify these Terms at any time. Your continued use of our services after any modification constitutes your acceptance of the modified Terms.
11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.
12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiations. If unable to resolve, the dispute shall be finally settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
14. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms constitute the entire agreement between you and us regarding our services and supersede all prior agreements and understandings, whether written or oral.
